Dividend Policy
LTG ensures that its stockholders enjoy their rights as provided not only in the Revised Corporation Code of the Philippines, but also as stated in the Company’s Revised Manual on Corporate Governance. Among these rights include a stockholder’s the right to receive dividends, to wit:
1. Stockholders shall have the right to receive dividends subject to the discretion of the Board.
2. The Company shall be compelled to declare dividends when its retained earnings shall be in excess of 100% of its paid-in capital stock, except:
(a) When justified by definite corporate expansion projects or programs approved by the Board;
(b) When the Company is prohibited under any loan agreement with any financial institution or creditor, whether local or foreign, from declaring dividends without its consent, and such consent has not been secured; or
(c) When it can be clearly shown that such retention is necessary under special circumstances in the Company, such as when there is a need for special reserve for probable contingencies.
In 2022, the Company four (4) times declared dividends on the following dates:
16 March 2022 – Regular Cash Dividend of 0.15 per share and Special Cash Dividend of 0.15 per share to all its Stockholders as of record date of March 30, 2022
18 May 2022 – Special cash dividend of 0.30 per share to all its Stockholders as of record date of May 31, 2022
17 August 2022 – Special cash dividend of 0.30 per share to all its Stockholders as of record date of September 2, 2022
18 November 2022 – Special Cash Dividend of 0.50 per share to all its Stockholders as of record date of December 6, 2022
As the Company strictly adheres to the guidance of good corporate governance, the stockholders were paid within 30 days from the time it was approved, declared, and disclosed to the Philippine Stock Exchange (PSE).
